These Terms of Use (the "Terms") govern your use of the website vidatech.org and the public-facing information and tools made available there by Vida Tech LLC ("Vida Tech," "we," "us," or "our"), a Texas limited liability company. By accessing or using the website, you agree to be bound by these Terms.

These Terms do not govern the actual services you purchase from us. Subscriptions, the AI Receptionist, Super-Employee engagements, and any other paid engagement are governed by a separate signed agreement (a Master Subscription Agreement, Services Agreement, or Order Form). Where these Terms conflict with a signed services agreement, the signed agreement controls.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into agreements on your own behalf or on behalf of the company you represent. By using the website, you represent that you meet these requirements.

2. Use of the Website

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the website for personal or internal business purposes — for example, to learn about our services, request an introductory call, use our chat widget, or call our AI receptionist demo line. You may not:

  • Use the website in any way that violates applicable law or regulation
  • Attempt to circumvent the website's security, rate limits, or access controls
  • Scrape, crawl, or harvest content beyond what is allowed by our robots.txt
  • Use the website to send unsolicited communications, spam, or malicious content
  • Reverse-engineer or attempt to extract source code, models, or proprietary methods
  • Misrepresent your identity or affiliation when submitting a form, calling our demo line, or using our chat widget
  • Attempt to manipulate, prompt-inject, or otherwise misuse our AI chat assistant for purposes other than learning about Vida Tech services

3. Intellectual Property

The website, including its text, graphics, code, layout, the names "Vida Tech," "Super-Employee," our logos, and all other content, is owned by Vida Tech LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of any portion of the website without our prior written consent, except that you may share links to public pages on the website.

4. Submissions

If you submit a form, send us an email, use our chat widget, or otherwise provide us with feedback, suggestions, or ideas ("Submissions"), you grant Vida Tech LLC a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and distribute the Submission for any purpose, including improving our services. We will handle any personal information in Submissions in accordance with our Privacy Policy.

5. AI Receptionist Demo Line and Chat Widget

The demo line at (501) 491-4299 and the chat widget on this website are provided for the purpose of demonstrating our AI offerings. Calls to the demo line may be recorded, transcribed, and stored for quality assurance and product improvement. Chat conversations are processed by Anthropic's Claude AI and forwarded to our team. By calling the line or using the chat widget, you consent to such recording, processing, and storage. Do not share confidential or sensitive information (such as Social Security numbers, banking credentials, or health information) with these tools. They are not substitutes for emergency services; in an emergency, call 911.

6. Third-Party Services and Links

The website may link to third-party websites or services that are not operated by us. We are not responsible for the content, privacy practices, or terms of those services. Your interactions with third parties are governed by their own terms and policies.

7. Disclaimers

The website is provided "as is" and "as available," without warranty of any kind. Vida Tech LLC disclaims, to the maximum extent permitted by applicable law, all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components.

Statements on the website about our services (including pricing tiers, time-to-live estimates, comparison math, and AI-assistant replies) are general marketing claims. The specific terms applicable to any service you purchase from us will be set forth in a separately signed agreement. AI-generated chat responses do not constitute professional, legal, or contractual advice and may contain errors.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Vida Tech LLC and its officers, members, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising out of or related to your use of the website. Our total aggregate liability arising out of or related to these Terms or the website shall not exceed one hundred U.S. dollars (US$100).

9. Indemnification

You agree to defend, indemnify, and hold harmless Vida Tech LLC and its officers, members, employees, agents, and licensors from any claim, demand, loss, or damage, including reasonable attorneys' fees, arising out of or related to your breach of these Terms or your misuse of the website.

10. Changes

We may update these Terms from time to time. Material changes will be announced on this page. The "Last updated" date reflects the most recent revision. Your continued use of the website after a change becomes effective constitutes acceptance of the updated Terms.

11. Termination

We may suspend or terminate your access to the website at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to us or other users.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the website shall be brought exclusively in the state or federal courts located in Tarrant County, Texas, and you consent to the personal jurisdiction of those courts.

13. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy and any signed services agreement, constitute the entire agreement between you and Vida Tech LLC regarding the website.
